Joint Venture AgreementThe joint venture agreement (JVA) can be one of the natural consequence of a successful PDA. A JVA structure is similar to all other contracts or agreements. It begins with the usual introduction of the execution date, the parties, the whereas, and the purpose of the agreement. The recitals and definitions complete the introductory phase of the JVA by defining the eventual "brand" or "trade marks" of the machinery or systems in case of a commercial agreement, "intellectual property rights (IPRs)," "minimum quantity," "net sale prices," "order quantity," "reserved territories," "assigned territory," mechanics of the interpretation of particular words like "hereof," "herein," "including," "in particular," "for example."
